Terms of Service

1. Acceptance of Terms

By creating an account or using the Elior platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Elior is a software-as-a-service (SaaS) platform focused on helping founders and fundraising teams turn company progress into investor-ready updates, better investor matching, and tighter fundraising communication workflows. The Service includes, but is not limited to:

• Investor update composition and distribution
• AI-powered text ghostwriting and document analysis
• Pitch deck validation and fundraising scoring
• Data room and fundraising vault management
• Investor matching and alignment scoring
• Founder-facing KPI monitoring and communication workflows
• Future investor-facing workflows that may be introduced later

3. User Accounts

• You must provide accurate and complete registration information.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must immediately notify us of any unauthorized access to your account.
• You may not share your account with other individuals without authorization.
• We reserve the right to suspend or terminate accounts that violate these Terms.

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Upload malicious code, viruses, or any harmful content
• Attempt to gain unauthorized access to other users' accounts or data
• Use the Service to transmit spam or unsolicited communications
• Misrepresent your identity or organizational affiliation
• Scrape, copy, or extract data from the Service without authorization
• Use the AI features to generate fraudulent, misleading, or deceptive content
• Resell or sublicense access to the Service without our written consent

6. Intellectual Property

• Your Content: You retain all rights to the data, documents, and content you upload to the Service. By uploading, you grant us a limited license to process, store, and display your content solely for Service delivery.
• Our Property: The Service, including its design, code, algorithms, branding, and AI models, is owned by Elior Systems Inc. and protected by intellectual property laws.
• AI-Generated Content: Content generated by our AI features is provided under a non-exclusive license. You may use AI-generated text in your investor communications.

7. Confidentiality

We understand that the financial data shared on Elior is highly sensitive. We commit to:

• Treating all uploaded documents and financial data as confidential
• Not sharing, selling, or monetizing your business data for any purpose beyond Service delivery
• Implementing industry-standard encryption and access controls
• Ensuring all personnel with access to user data are bound by confidentiality agreements

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELIOR SYSTEMS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use of or inability to use the Service;
• Any conduct or content of any third party on the Service;
• Unauthorized access, use, or alteration of your data;
• Investment decisions made based on AI-generated analysis or suggestions;
• Any errors, inaccuracies, or omissions in AI-generated content.

9. Indemnification

You agree to indemnify, defend, and hold harmless Elior Systems Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising out of or related to your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Termination

• You may terminate your account at any time through Settings -> Danger Zone.
• We may suspend or terminate your account for violation of these Terms with reasonable notice.
• Upon termination, your right to use the Service ceases immediately.
• We will retain your data for 30 days after termination to allow data export, after which it will be permanently deleted.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions.

Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Istanbul, Turkey.
